Because a built-in grill is dropped into island framing that is often combustible, and the liner is the thermal barrier between the firebox and that framing. Many local codes require one, so check yours before you build.
What is the shell made of?
304 stainless steel, wrapped around a high-temperature insulation core. That grade is specified so the buried part of the assembly does not corrode.
What changes at the grill once the jacket is in?

I have the 42" version of the same grill — same jacket?
No. Jackets are sized to grill width. The 42" CL and SL grills use the 42" jacket instead.
